When you’re ready to start working in a new country, you have to consider many different factors that impact your daily operations. How will you run your payroll? Do you have a plan for recruiting top candidates? What level of compensation and benefits will you provide?

However, before you can answer these questions, you have to set up a Slovenia subsidiary. It can take weeks or months to incorporate fully, and you have to follow Slovenia’s subsidiary laws through every step of the process. Fortunately, G-P offers a different way to expand to foreign countries such as Slovenia. We offer Slovenia subsidiary outsourcing services, so you won’t have to worry about establishing an entity or following the country’s subsidiary laws.

How to Set Up a Slovenia Subsidiary

The Slovenia subsidiary setup process will depend on your location, type of entity, and more. You can make your expansion a little easier by choosing the right location within Slovenia. Different cities or regions may have their own Slovenia subsidiary laws as well as different costs, availability, and more. If you’re not sure which location would work best for your company, you can work with a consultant, lawyer, or accountant who knows the country’s laws.

You also have to choose a type of subsidiary. Slovenia permits several different entities, including a limited liability company (LLC), public limited company, branch, and more. If you want to perform a wide range of business activities, an LLC is probably the best choice, as it will give you the most freedom.

Setting up your Slovenia subsidiary as an LLC includes:

  • Drafting articles of association that include your company’s name and address, the name and address of your founders, details regarding management and the supervisory board, and the duration of your company
  • Opening an in-country bank account, depositing minimum share capital, and receiving a certificate of deposit
  • Notarizing articles of association and the certificate of deposit
  • Registering both of the above documents at the electronic one-stop-shop (VEM)
  • Receiving a registration number on the AJPES website once you pay taxes and submit the proper documents

Slovenia Subsidiary Laws

While incorporating as an LLC comes with many benefits, you’ll have to observe all of Slovenia’s subsidiary laws related to regulations, taxation, and more. LLCs need at least 7,500 EUR in minimum share capital and one founder. If you have only one shareholder, you can complete the registration process online. However, if you have multiple shareholders, you need to complete the process in-person at one of Slovenia’s 200 registration office. You cannot have more than 50 shareholders.

Since LLCs operate much like resident companies, you’ll be subject to the same laws. For example, your company will have to pay Slovenia’s corporate income tax at 19%. You also need to follow Slovenia’s double-entry bookkeeping system to keep your book of accounts.

Benefits of Setting Up a Slovenia Subsidiary

Once you establish a subsidiary, you’ll be ready to start working in Slovenia. In addition to other benefits, setting up your Slovenia subsidiary as an LLC will protect your parent company. The limited liability structure means your subsidiary and parent company can operate somewhat independently of one another.

You won’t get to start realizing these benefits until you spend a significant amount of time on the Slovenia subsidiary setup process. G-P will give you all the benefits you need fast. We’ll use Slovenia subsidiary outsourcing to help you start working in the country in a day. In addition, all regulations and compliance issues will fall on our shoulders instead of yours, so you can focus solely on running your company.

Other Important Considerations

Working with other departments within your company to prepare for incorporation can help you succeed. Start by meeting with your finance department to go over how much money you’ll require beyond the minimum share capital. Then you can work with other executives to determine who will handle what tasks. Finally, we recommend working with a consultant or other expert who can make sure you meet all of Slovenia’s subsidiary laws.
